0526 RESOLUTION NO. 526 ( #2 - 2000)
A RESOLUTION AUTHORIZING THE MAYOR AND CITY CLERK OF THE CITY OF
JACKSONVILLE, TO EXECUTE CERTAIN AGREEMENTS REGARDING THE REFINANCING
OF CONESTOGA WOOD SPECIALTIES' PRIMARY MORTGAGE; AND, FOR OTHER
PURPOSES.
WHEREAS, the City of Jacksonville, Arkansas, having entered into an Agreement with the
owners of Conestoga Wood Specialties Corporation upon their development of business in the City,
understands the Corporation's need to restructure and refinance its primary mortgage on its
property located at 2201 Redmond Road, Jacksonville, Arkansas; and,
WHEREAS, the Mayor and City Clerk of the City of Jacksonville, Arkansas, are the proper
persons to execute such appropriate and necessary documents on behalf of the City.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
JACKSONVILLE, ARKANSAS, THAT:
SECTION ONE: The Mayor and City Clerk are hereby authorized as the Signatory
Authorities for the City of Jacksonville, Arkansas, to approve and execute a Landlord /Mortgagee
Consent and Waiver and any other such necessary documents to accomplish the Corporation's
refinancing of primary debt on its local facilities.
SECTION TWO: The City of Jacksonville, Arkansas, pledges its full support to
Conestoga Wood Specialties Corporation and hereby authorizes the Mayor and City Clerk to
execute any and all necessary documents to accomplish said refinancing. In doing so, the City
recognizes that no aspect of the Corporation's refinancing will negatively affect the terms of the
agreement between the City and the Corporation.
SECTION THREE: All resolutions or parts of resolutions in conflict herewith are hereby
repealed to the extent of said conflict.
