ORDINANCE NO. 1030 (#13-94)
AN ORDINANCE AUTHORIZING THE MAYOR AND CITY CLERK'S APPROVAL
OF A LEASE AGREEMENT FOR REBSAMEN REGIONAL MEDICAL CENTER
FACILITIES; REPEALING JACKSONVILLE MUNICIPAL CODE SECTION
2.28.010 ET. SEQ. AND ABOLISHING THE JACKSONVILLE MUNICIPAL
HOSPITAL COMMISSION; DECLARING AN EMERGENCY; AND, FOR OTHER
PURPOSES.

WHEREAS, in approval of Resolution No. 475, the City
Council expressed its support of the development and
operation of a non-profi t corporation for the operation of
Rebsamen Regional Medical Center in the future; and,
WHEREAS, in accordance with ACA 14-264-104(c), the City
Council and Hospital Commission desire to lease Rebsamen
Regional Medical Center facilities to Rebsamen Regional
Medical Center, Inc., an Arkansas non-profit corporation
formed to enhance efficient and effective operation of our
Community's medical facilities, under the following terms.
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF
THE CITY OF JACKSONVILLE, ARKANSAS, THAT:
SECTION ONE: Jacksonville Municipal Code Section
2.28.010, et. seq. is hereby repealed, and the Jacksonville
Municipal Hospi tal Commission created thereunder is hereby
abolished from and after October 1, 1994, until further
action by this governing body.
SECTION TWO: The Mayor and City Clerk are hereby
authorized to execute a Lease Agreement with Rebsamen
Regional Medical Center, Inc., a non-profit corporation duly
organized under the laws of the state of Arkansas, for the
faci 1 i ties owned and operated by Rebsamen Regional Medical
Center. Said Lease shall run for a period of twenty-five
(25) years, beginning October 1, 1994, with consideration
being payment by the Corporation of all obligations provided
in the Bond Indentures (Series 1989 and 1992) and Management
Agreement of the Hospital. The Lease Agreement shall include
an option to extend said terms for an addi tional period of
twenty-five (25) years under similar terms, together with an
option to purchase said properties and assets through a first
right of refusal clause. Other terms and conditions standard
to lease agreements shall be included, and all terms shall be
revi ewed and approved by the Mayor and Ci ty At torney to
insure compliance with local, state, and federal regulations
and laws.

SECTION FOUR: Due to the fast paced environment of
hospital administration, there remains an immediate necessity
for execution of said Lease Agreement. It is found that an
emergency exists, and this Ordinance shall be in effect from
and after its date of passage so as to benefit the health and
welfare of the citizens of Jacksonville.
